1. Acceptance

The Site describes Juvia, its team, and its approach to investing. It is provided for general information only.

Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security or any interest in any fund or investment vehicle managed or advised by Juvia or its affiliates. Any such offer will be made only through confidential offering documents, to qualified investors, in jurisdictions where the offer is lawful. The Site is not directed at any person in a jurisdiction where its content would be unlawful.

4. No investment, legal, or tax advice

Nothing on the Site is investment, legal, tax, or medical advice, or a recommendation to buy, sell, or hold any security. Do not rely on the Site to make any investment decision.

5. Portfolio companies, team track record, and forward-looking statements

Companies described on the Site are examples and are not representative of all of Juvia's investments. Past investments do not indicate future results. Descriptions of a company's science, products, or clinical programs are based on information available to us at the time and may change. Statements about future events are forward-looking, involve risks and uncertainties, and may turn out to be wrong. We have no obligation to update them.

Medicines and companies shown in the Site's Impact section reflect the work of Juvia team members and advisors in prior roles at other companies. They are not investments of any Juvia fund and do not represent the performance of Juvia or any fund it manages. Track-record figures, such as medicines approved, capital raised, IPOs, and M&A exits, are totals for team members across their careers.

Statements on the Site from portfolio company executives come from leaders of companies in which Juvia or its personnel have invested, which gives them a reason to speak favorably of Juvia. They were not paid for their statements.

6. Intellectual property

Juvia owns or licenses the Site and its content, including text, graphics, and design. Some images are licensed from stock photo providers and remain their property. Portfolio company names and logos belong to those companies and are used with permission. Names and logos of medicines and other companies are trademarks of their owners, are used only to identify those products and companies, and do not imply that their owners endorse Juvia. You may view and print pages for your personal, non-commercial use. You may not copy, modify, distribute, or republish any content without our written permission or, for third-party content, its owner's permission.

7. Acceptable use

You agree not to:

·      use the Site in violation of any law;

·      interfere with or disrupt the Site or its security;

·      scrape, crawl, or copy the Site's content by automated means without our permission;

·      misrepresent your affiliation with Juvia.

8. Third-party links

The Site may link to websites we do not control, including those of portfolio companies. We are not responsible for their content, accuracy, or privacy practices, and a link does not mean we endorse them.

9. Disclaimer of warranties

The Site is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of accuracy, merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the Site will be available, secure, or error-free.

10. Limitation of liability

To the fullest extent the law allows, Juvia and its affiliates, partners, employees, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of or reliance on the Site. Some jurisdictions do not allow these limits, so they may not apply to you.

11. Governing law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Site will be resolved in the state or federal courts located in Suffolk County, Massachusetts, and you consent to their jurisdiction. If you are a consumer in the EEA or UK, you keep the protection of any mandatory laws of your country of residence.
